This EthAgents License Agreement (the “Agreement”) governs your purchase, minting, holding, display, and use of EthAgents non-fungible tokens ("Agent NFTs"). By minting or otherwise acquiring an Agent NFT, you agree to be bound by this Agreement.
Agent NFTs are blockchain collectibles. They enable you to set, store, and update onchain variables and metadata on Ethereum (e.g., agent name, configuration values, references). Beyond the ability to hold the token and configure permitted onchain fields, no features, services, software functionality, or outcomes are promised or guaranteed. Any additional software, integrations, or agent behaviors are entirely optional, community-driven, and outside the scope of this Agreement.
You receive no ownership or license to any intellectual property, trademarks, copyrights, patents, trade secrets, or other proprietary rights of the creators or contributors. All IP rights not expressly granted are reserved. Your rights are limited to the Agent NFT itself and the onchain fields you configure.
Subject to this Agreement, you may display, transfer, and resell your Agent NFT, and you may configure permitted onchain variables associated with it. You may not claim endorsement by the creators, imply any affiliation, or use any associated names, marks, or content in a way that suggests sponsorship or partnership.
You acknowledge the risks of using blockchain technology, including smart contract bugs, network failures, forks, loss of private keys, marketplace volatility, tax implications, and potential regulatory changes. You are solely responsible for gas fees and any third-party costs. All Agent NFTs are provided "as is" and "as available."
You agree not to use Agent NFTs or any onchain configuration to: (a) violate any law or regulation; (b) infringe or misappropriate any third-party rights; (c) engage in fraud, deception, impersonation, harassment, doxxing, or harmful conduct; (d) deploy malware or disrupt networks; (e) promote violence, terrorism, or hate; or (f) enable activities that are generally recognized as abusive, illegal, or unethical.
The EthAgents Genesis Collection has a maximum supply of 10,000 items as enforced by the collection smart contract. However, the collection may be closed at any time in the creators' discretion, after which no further mints will be permitted. If the collection is closed before the maximum is reached, the final total supply will be the number of Agent NFTs minted as of the time of closure, which may be less than 10,000.
THE CREATORS AND CONTRIBUTORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE CREATORS OR CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE AGENT NFTS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold harmless the creators, contributors, and their affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Agent NFTs, your onchain configurations, or your violation of this Agreement.
This Agreement binds subsequent holders. If you sell or transfer your Agent NFT, your rights under this Agreement terminate with respect to that NFT, and the transferee will be deemed to accept and be bound by this Agreement upon acquisition.
We may update this Agreement from time to time. Material changes will be posted at this page. Continued interaction with Agent NFTs after changes become effective constitutes acceptance of the updated terms.
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to this Agreement, including the formation, interpretation, breach, or termination thereof, or the Agent NFTs, shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in New York, New York, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.
Each party shall bear its own costs and expenses in connection with the arbitration, including attorneys' fees, unless otherwise determined by the arbitrator. The arbitrator may award costs and expenses, including reasonable attorneys' fees, to the prevailing party. YOU UNDERSTAND AND AGREE THAT BY AGREEING TO THIS ARBITRATION PROVISION, YOU ARE WAIVING YOUR RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
